AIR Board meeting April 24, 2008

Attending : David Freedman, Vice-President, Karen Lewellen, Amy Mayer, Joan Rabinowitz, Treasurer, Sue Schardt, Executive Director (note-taker), Sid Selvidge, President (opens meeting/must leave), Jake Shapiro (first 30 mins)

Absent: Jim Russell, Robynn Takayama

Selvidge calls meeting to order
•    welcomes Amy Mayer to the board
•    kudos to Sue for the good job she is doing
•    turns chairmanship of meeting over to David Freedman.  

Motion to accept minutes from March meeting
•    Karen moves
•    Joan seconds
•    Motion passes unanimously

Treasurer’s report:  Joan Rabinowitz
•    Winnie Tam and Virginia Brush audit underway and on track
•    Discussion of NEA grant status

Executive Director’s report:  Sue Schardt
•    Welcomes Amy Mayer to the board, congratulates Jake/PRX for $500K MacArthur award
•    $30K new funding for AIR’s Makers Fund from The Robert E. Davoli and Eileen L. McDonagh Charitable Foundation to support organizational development and the CPB initiative
•    Recap NEA funding status; revised deliverables accepted, including consolidating AIR publications
•    Will bring on an intern to work in the Boston office this summer

New business
•    Amy Mayer talks about her experience in radio and with AIR. Interested in building out more opportunities that help break physical isolation of members.
•    Discussion board composition re: need for more formal guidelines for AIR board members detailing responsibilities, etc… Karen agrees to spearheading and will send them to Sue for review/editing
•    Discussion of moving to quarterly meetings.  Consensus is to keep at monthly for now

Old Business  
•    Sue and David report on interviews of 3 prospective leaders for AIR board development, lay out next steps. Discussion ensues, bringing meeting into overtime.
•    Agenda point re: opening board meetings to all AIR members must be tabled until next meeting.
